TERMS OF SERVICE

1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the NMine LLC website located at nmine.org, the NMine Dashboard, and all related tools, features, and content (collectively, the "Site"). NMine LLC is a Wyoming limited liability company ("NMine," "we," "us," or "our").
By accessing or using the Site, creating an account, or clicking any "I agree," "Accept," or similar button, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, do not access or use the Site.
These Terms govern use of the Site and Dashboard only. Your purchase of cryptocurrency mining hardware and use of NMine's hosting services are governed separately by the NMine Master Hosting Agreement, which you must execute before purchasing hardware or activating hosting services. In the event of any conflict between these Terms and the Master Hosting Agreement, the Master Hosting Agreement controls with respect to the commercial relationship.
2. Changes to These Terms
We may update these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, notify you by email or via a notice on the Dashboard. Your continued use of the Site after any update constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Site and close your account.
3. Eligibility
To use the Site and create an account, you must:
• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts in your jurisdiction
• Not be located in, or be a national or resident of, any country subject to comprehensive U.S. government sanctions (including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine)
• Not be listed on the U.S. Treasury OFAC Specially Designated Nationals and Blocked Persons List or any other applicable government sanctions list
• Not be prohibited from accessing or using the Site under any applicable law
By using the Site, you represent and warrant that you meet all of the above eligibility requirements. If you are accessing the Site on behalf of a business entity, you further represent that you have the authority to bind that entity to these Terms.
4. Account Registration and Security
4.1 Creating an Account
To access most features of the Site, including purchasing hardware and managing your hosting services, you must create an account. When registering, you agree to provide accurate, current, and complete information and to keep your account information updated. You must not impersonate any person or entity or use a false identity when creating an account.
4.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to:
• Use a strong, unique password for your NMine account
• Enable any multi-factor authentication options we make available
• Not share your login credentials with any other person
• Notify us immediately at [email protected] if you suspect unauthorized access to your account
NMine is not liable for any loss or damage arising from your failure to maintain the security of your account credentials.
4.3 Account Responsibility
You are solely responsible for all actions taken through your account, including hardware purchases, mining configuration changes, payment authorizations, and any communications sent from your account. If you allow others to access your account, you remain fully responsible for their actions.
4.4 Payment Instruction Security
The NMine Dashboard is the sole authoritative source for NMine's payment instructions. You should only act on payment instructions displayed within the Dashboard. NMine will never ask you to change payment details by email, phone, text, or any channel outside the Dashboard. Any communication purporting to change payment instructions through another channel should be treated as a potential fraud attempt. Verify all payment details directly through the Dashboard before sending funds.
5. The NMine Dashboard
5.1 Dashboard Features
The NMine Dashboard provides registered customers with tools to manage their cryptocurrency mining hardware, including:
• Browsing and purchasing available hardware
• Reviewing and acknowledging Order Confirmations
• Configuring mining pool addresses, wallet addresses, and worker names
• Viewing hardware performance metrics, uptime, and hashrate data
• Accessing invoices and payment history
• Managing account information and notification preferences
• Enrolling in or canceling the Protection Plan
• Pausing and resuming mining operations
5.2 Mining Configuration Changes
Changes you make to your mining configuration through the Dashboard, including changes to wallet addresses and pool credentials, take effect as described in your Master Hosting Agreement. You are solely responsible for the accuracy of any configuration changes you make. NMine is not liable for misdirected mining rewards, missed mining output, or any loss resulting from configuration errors you introduce through the Dashboard.
5.3 Hardware Performance Data
Performance metrics, hashrate data, uptime statistics, and other hardware data displayed on the Dashboard are provided for informational purposes only. NMine does not guarantee the accuracy, completeness, or real-time nature of such data and is not liable for decisions made in reliance on Dashboard data.
5.4 Service Availability
We will use commercially reasonable efforts to keep the Dashboard available, but we do not guarantee uninterrupted or error-free access. Scheduled and emergency maintenance, technical issues, and other factors may cause temporary unavailability. Dashboard downtime does not affect the terms of your Master Hosting Agreement or relieve you of payment obligations under that agreement.
6. Prohibited Uses
You agree not to use the Site or Dashboard in any of the following ways:
• In violation of any applicable local, state, national, or international law or regulation
• To impersonate NMine, an NMine employee, another user, or any other person or entity
• To transmit any unsolicited or unauthorized advertising, promotional material, spam, or similar content
• To attempt to gain unauthorized access to any part of the Site, the Dashboard, other users' accounts, or NMine's internal systems or networks
• To interfere with or disrupt the integrity or performance of the Site, the Dashboard, or any related systems
• To use automated tools (bots, scrapers, crawlers, or similar) to access, collect, or index any part of the Site without our prior written consent
• To reverse engineer, decompile, disassemble, or attempt to derive the source code of any software underlying the Site or Dashboard
• To upload, transmit, or distribute any malware, viruses, or other malicious code
• To use the Site or Dashboard to facilitate money laundering, sanctions evasion, terrorist financing, or any other illegal financial activity
• To use another person's credentials or account information without authorization
• To submit false, misleading, or fraudulent information to NMine
• To conduct any activity that places an unreasonable or disproportionate load on our infrastructure
We reserve the right to investigate suspected violations of these Terms and to take any action we deem appropriate, including suspending or terminating your account, reporting violations to law enforcement, and seeking legal remedies.
7. Intellectual Property
7.1 NMine's Intellectual Property
The Site, Dashboard, and all content, features, and functionality made available through them—including but not limited to text, graphics, logos, icons, images, software, and the compilation and arrangement of such materials—are owned by NMine or its licensors and are protected by copyright, trademark, trade secret, and other intellectual property laws. The NMine name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of NMine LLC. You may not use any of our trademarks without our prior written permission.
7.2 Limited License
Subject to your compliance with these Terms, NMine grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site and Dashboard solely for the purpose of managing your NMine account and hosting services. This license does not include any right to resell, copy, modify, create derivative works of, or commercially exploit any portion of the Site or Dashboard.
7.3 Feedback
If you provide us with any feedback, suggestions, or ideas regarding the Site, Dashboard, or our services ("Feedback"), you grant NMine a royalty-free, worldwide, irrevocable, perpetual license to use and incorporate that Feedback into our products and services without any obligation to you.
8. Third-Party Content and Links
The Site and Dashboard may contain links to third-party websites, mining pool operators, wallet providers, hardware manufacturers, and other external services. These links are provided for your convenience only. NMine does not endorse, control, or assume any responsibility for the content, products, services, privacy practices, or accuracy of any third-party site or service.
Your use of third-party services—including mining pools, wallet providers, and exchanges—is governed solely by those parties' terms and is entirely at your own risk. NMine is not a mining pool operator or wallet provider and is not responsible for the performance, security, or availability of any third-party service you use in connection with cryptocurrency mining.
9. Cryptocurrency and Financial Disclosures
NMine is a hardware hosting service provider. We are not a financial advisor, investment advisor, broker-dealer, money services business, or cryptocurrency exchange. Nothing on the Site or Dashboard constitutes financial, investment, tax, or legal advice.
Cryptocurrency mining involves significant financial risk, including but not limited to:
• The value of mining rewards (including Bitcoin) may decline significantly or become worthless
• Network difficulty, block rewards, and mining profitability are volatile and unpredictable
• Regulatory changes may adversely affect the legality or economics of mining in your jurisdiction
• Hardware purchased for mining depreciates rapidly due to technological change and increasing network difficulty
• Past mining profitability is not indicative of future results
By using the Site and purchasing hardware, you acknowledge that you have independently evaluated these risks and are making your own informed decisions. NMine makes no representation regarding the profitability, return on investment, or suitability of cryptocurrency mining for your particular circumstances.
You are solely responsible for complying with all tax reporting obligations in your jurisdiction arising from your ownership of cryptocurrency mining hardware and receipt of mining rewards. NMine does not provide tax advice and does not withhold or report taxes on your behalf.
10. Disclaimer of Warranties
THE SITE, DASHBOARD, AND ALL CONTENT AND FEATURES AVAILABLE THROUGH THEM ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NMine EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
NMine DOES NOT WARRANT THAT: (A) THE SITE OR DASHBOARD WILL BE AVAILABLE, UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) ANY INFORMATION OR DATA DISPLAYED ON THE DASHBOARD IS ACCURATE, COMPLETE, OR CURRENT; (C) ANY DEFECTS OR ERRORS WILL BE CORRECTED; OR (D) THE SITE OR DASHBOARD IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NMine AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOSS OF DATA, LOSS OF CRYPTOCURRENCY, LOSS OF GOODWILL, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SITE OR DASHBOARD, EVEN IF NMine HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NMine'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE OR DASHBOARD WILL NOT EXCEED ONE HUNDRED DOLLARS ($100.00) USD. THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE).
The limitations in this Section do not apply to: (a) NMine's liability for gross negligence or willful misconduct; (b) any liability that cannot be excluded or limited under applicable law; or (c) claims governed by your Master Hosting Agreement, which has its own liability provisions.
12. Indemnification
You agree to indemnify, defend, and hold harmless NMine and its officers, directors, employees, agents, and affiliates from and against any claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Site or Dashboard; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) any content or information you submit through the Site or Dashboard.
13. Privacy
Your use of the Site and Dashboard is also governed by our Privacy Policy, available at nmine.org/privacy, which is incorporated into these Terms by reference. By using the Site, you consent to the collection and use of your information as described in the Privacy Policy.
14. Termination and Suspension
14.1 Termination by You
You may close your NMine account at any time by contacting [email protected]. Closing your account does not affect any obligations under a Master Hosting Agreement you have executed. You must separately terminate any active hosting services in accordance with your Master Hosting Agreement.
14.2 Termination or Suspension by NMine
We may suspend or terminate your access to the Site or Dashboard at any time, with or without notice, for any reason, including if we reasonably believe you have violated these Terms, engaged in fraudulent or illegal activity, or pose a risk to NMine or other users. Termination of your Site access does not automatically terminate your Master Hosting Agreement, which is governed by its own termination provisions.
14.3 Effect of Termination
Upon termination of your account, your right to use the Site and Dashboard ceases immediately. All provisions of these Terms that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, limitations of liability, and dispute resolution provisions.
15. Governing Law and Dispute Resolution
15.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict-of-law principles.
15.2 Jurisdiction and Venue
Any dispute arising out of or relating to these Terms or your use of the Site or Dashboard that is not resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in Sheridan County, Wyoming. You irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection based on inconvenient forum.
15.3 Waiver of Jury Trial
YOU AND NMine EACH WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION OR PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE OR DASHBOARD.
15.4 Class Action Waiver
YOU AND NMine EACH AGREE THAT ANY DISPUTE WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT, CLASS-WIDE ARBITRATION, OR ANY OTHER REPRESENTATIVE PROCEEDING.
15.5 Informal Resolution
Before initiating any legal action, you agree to contact us at [email protected] and attempt to resolve the dispute informally. We will attempt to resolve any complaint within thirty (30) days of receiving it. If the dispute is not resolved within that period, either party may pursue available legal remedies.
16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy and any Master Hosting Agreement you have executed, constitute the entire agreement between you and NMine regarding your use of the Site and Dashboard, and supersede all prior agreements, representations, and understandings.
16.2 Severability
If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
16.3 No Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. No waiver is effective unless it is in writing and signed by NMine.
16.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. NMine may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets without your consent.
16.5 Force Majeure
NMine is not liable for any delay or failure in performance of the Site or Dashboard caused by circumstances beyond our reasonable control, including natural disasters, power failures, cyberattacks, government actions, or Internet outages.
16.6 Electronic Communications
By creating an account and using the Site, you consent to receive communications from NMine electronically, including via email and Dashboard notifications. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing.
